Terms of Use

1. ACCEPTANCE & SCOPE OF AGREEMENT

These Terms of Use govern all access to and use of the Redstrim website, developer documentation, administration consoles, and white-label client applications deployed on web, mobile (iOS, Android), and connected TVs (Apple TV, Android TV, Samsung Tizen, LG webOS, Fire TV).

We reserve the right, at our sole discretion, to change, modify, or alter these Terms of Use at any time. Unless otherwise indicated, amendments become effective immediately upon posting. Your continued use of the platform after updates constitutes your agreement to the revised terms.

2. WHITE-LABEL PLATFORM LICENSE & SERVICE PROVISION

Subject to compliance with these terms and any applicable Master Services Agreement (MSA), Redstrim grants you a limited, revocable, non-exclusive, non-transferable license to access our platform consoles and deploy our white-label client streaming applications to your end-users.

You acknowledge that Redstrim operates as a technology infrastructure provider. You are solely responsible for acquiring, managing, and securing all necessary broadcasting, public performance, syndication, and distribution licenses for all content ingested into or streamed through the platform.

3. ACCOUNT REGISTRATION, CREDENTIALS & SECURITY

To access certain operator portals or developer APIs, you must register for an administrative account. You agree to provide accurate, current, and complete information and maintain its accuracy.

You are solely responsible for maintaining the confidentiality of your credentials, API tokens, and private signing keys. You agree to notify Redstrim immediately of any unauthorized access, breach of security, or token compromise.

4. INTELLECTUAL PROPERTY & CONTENT RIGHTS

Client Content Ownership: You or your licensors retain all right, title, and interest in and to all media assets, videos, metadata, thumbnails, branding, and audio streams ("Client Content") uploaded to or distributed via Redstrim.

Redstrim Platform Ownership: Redstrim and its licensors retain all right, title, and interest in and to the Redstrim platform, transcode architecture, player engines, client app source code, APIs, SDKs, user interfaces, and trademarks. You may not copy, decompile, reverse-engineer, or derive source code from any platform component.

5. ACCEPTABLE USE & PROHIBITED CONDUCT

You agree not to use the Redstrim platform or applications for any unlawful purpose or in violation of these Terms. Specifically, you shall not:

• Ingest, stream, or distribute content that infringes upon copyright, trademark, patent, or intellectual property rights of any third party.
• Circumvent, disable, or tamper with Digital Rights Management (DRM) technologies (including Widevine, FairPlay, and PlayReady), concurrent stream limits, or geo-blocking controls.
• Launch denial-of-service (DDoS) attacks, stream scraping, unauthorized load testing, or exploit platform endpoints.
• Transmit any viruses, malware, trojans, or malicious code through the platform or API endpoints.
• Sub-license or re-sell platform administrative capabilities without prior explicit written authorization from Redstrim.

6. SERVICE AVAILABILITY, SLA & MAINTENANCE

Redstrim strives to provide enterprise-grade reliability and high availability. However, services may occasionally experience downtime for scheduled maintenance, emergency security patches, or telecommunications disruptions beyond our reasonable control.

Service Level Agreements (SLAs), uptime guarantees, and support tiers are governed by the dedicated Service Level Agreement included in your enterprise subscription contract.

7. THIRD-PARTY SERVICES & LINKED SITES

The Redstrim platform may interface with or link to third-party services, such as payment gateways, third-party analytics suites, external ad servers (VAST/VMAP), and CDN networks. These external services are operated independently, and Redstrim is not responsible for the content, privacy practices, or availability of third-party systems.

8. DISCLAIMER OF WARRANTIES

Except as expressly set forth in an executed commercial agreement, the platform, documentation, and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. Redstrim disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Redstrim, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business interruption, arising out of or in connection with the use of or inability to use the platform.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Redstrim and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your Client Content, violation of these Terms, or infringement of any third-party right.

11. TERMINATION & SUSPENSION

Redstrim reserves the right to suspend or terminate your platform access or account immediately, without prior notice, in the event of material breach of these Terms, suspected security threat, non-payment, or infringement of intellectual property rights.

12. GOVERNING LAW & JURISDICTION

These Terms of Use shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in the federal or state courts located in Delaware.
